Acceptance of commercial terms
Binding purchase orders and confirmation of manufacturing schedules.
By submitting a formal purchase order, confirming an official quotation, or authorizing a production deposit with Haibro Enterprises, the client acknowledges and accepts these commercial terms. All customized corporate merchandise, bulk welcome hampers, and bespoke packaging solutions are manufactured strictly according to mutual written specifications.
Quotation validity and pricing revisions
Standard 30-day quotation window with material indexing protections.
All written quotations provided by Haibro Enterprises remain valid for 30 calendar days from the date of issuance. Because our catalog relies on volatile raw materials (including premium paperboards, specialized textiles, precision metals, and electronics), pricing remains subject to mutual adjustment if order sign-off occurs after 30 days or if severe market shifts impact baseline supply costs.
Sample sign-off and production tolerances
Mass manufacturing follows approved physical or digital counter-samples.
Bulk manufacturing commences exclusively after formal client approval of a physical sample, digital pre-production proof, or exact virtual render. Industry standard manufacturing tolerances apply: minor visual variances (+/- 5%) in Pantone color matching across irregular substrates, fabric batch dye lots, and foil debossing alignments fall within acceptable commercial production standards.
Intellectual property and artwork warranties
Client ownership warranties for corporate identity marks and submitted assets.
Clients retain absolute ownership of their respective trademarks, trade names, vector logos, and brand guidelines. By submitting artwork for reproduction, the client certifies that it possesses full legal authority and appropriate licensing for all provided assets, indemnifying Haibro Enterprises against third-party infringement claims arising from requested brand placement.
Payment milestones and tooling invoices
Standard 50% advance mobilization deposit with balance before dispatch.
Unless explicitly superseded by a formal enterprise master service agreement (MSA), standard commercial manufacturing terms require a 50% advance deposit upon order sign-off to initiate raw material mobilization and custom tooling. The remaining 50% balance becomes payable upon quality assurance sign-off immediately prior to factory dispatch.
Logistics, dispatch and title transfer
Pan-India multi-location dispatch, docket tracking, and risk transfer handover.
Haibro Enterprises orchestrates insured pan-India multi-location employee and corporate dispatches. Handover of risk and title passes to the client once the consolidated consignment is transferred to the vetted commercial freight or courier partner. Consignment tracking dockets are generated and transmitted promptly upon departure from our manufacturing hubs.
Force majeure events
Protection against delays outside normal commercial control.
Neither party shall be held liable for delivery delays or production failures resulting from circumstances beyond reasonable commercial control, including but not limited to natural disasters, transport blockades, regional power outages, sudden regulatory import restrictions, or declared supply emergencies. In such events, delivery schedules extend commensurate with the delay.
Governing law and jurisdiction
Legal enforcement and resolution under Indian statutory frameworks.
These commercial terms and any dispute arising from client purchase orders shall be governed by, interpreted, and enforced in accordance with the substantive laws of the Republic of India. The courts situated within the territory of India shall hold exclusive commercial jurisdiction over any legal proceedings.
